Application of the terms

These terms of service (the "Terms") govern access to and use of the Miiwa platform (the "Platform"), which is provided by Miiwa Ltd ("Miiwa", "we", "us").

By creating a user, accepting an order or entering into an agreement to use the Platform, you (the "Customer") accept these Terms.

The service

Miiwa provides an AI-native workflow automation platform. A small number of trusted builders author controlled AI agents and workflows in Native Studio, and the rest of the organisation uses them as finished, guided tools, assets and agents.

The Platform also includes connected integrations and dedicated product areas such as recruitment, tourism analytics, annual planning and decision records.

The Platform is delivered as software as a service, and Miiwa may continuously develop its features, integrations, security and user experience as part of ordinary operations.

Onboarding and implementation

Getting the most from the Platform can involve an onboarding step in which your workspace, rules, brand logic and data are configured into the solution.

You are responsible for providing the necessary materials, approvals and guidelines in good time.

Subscriptions and payment

Access to the Platform requires an active paid subscription. There is no free plan.

  • Subscriptions are billed monthly and renew automatically each month until cancelled.
  • Fees are charged through our payment processor according to the plan and pricing set out in your order or on our pricing page.
  • A workspace without an active subscription is locked and cannot access the Platform until a plan is chosen.
  • The workspace owner can cancel at any time through the customer billing portal, with the cancellation taking effect at the end of the current billing period.
  • Team members can be added or removed during the subscription, and changes are reflected in the following billing cycle.

Credits and usage

Interactive use of the Platform is metered in credits.

  • Each named user receives a monthly credit allowance (currently 200 credits per user) that resets at the start of each calendar month.
  • One credit corresponds to one generated output or agent session, unless stated otherwise for a specific feature.
  • Credits are personal to each user, do not roll over and cannot be accumulated across months.
  • The costs of the underlying AI providers are handled on a bring-your-own-key basis: if you supply your own provider keys, provider usage is billed to your own account.
  • If you rely on platform-supplied provider keys, usage may be subject to caps or to the terms of a separate agreement with Miiwa.

Rights and ownership

  • You keep all rights to your own data, standard operating procedures, guidelines and other source material you upload or make available to the Platform.
  • You obtain full ownership of the output generated for you through the Platform.
  • Miiwa keeps all rights to the Platform, including its architecture, tool and workflow design, system logic, documentation, source code, proprietary prompts and the Miiwa trademarks.
  • You receive no rights to Miiwa's source code or underlying proprietary system logic beyond the limited right of use granted by your subscription.

Acceptable use

When you use the Platform, you agree to:

  • not upload or process data you are not entitled to use, or that infringes the rights of others
  • not use the Platform for unlawful, harmful or abusive purposes, or to generate such content
  • comply with the terms of any third-party services you connect to the Platform
  • not attempt to reverse engineer, resell or circumvent the access controls or usage limits of the Platform
  • keep your credentials secure and remain responsible for activity under your account

Customer and user responsibilities

  • You are responsible for ensuring that data, documents and materials you provide do not infringe the rights of third parties.
  • You are responsible for reviewing, fact-checking and approving AI-generated output before you publish it or otherwise rely on it.
  • Miiwa gives no guarantee as to the accuracy, completeness or legal compliance of generated output, including in relation to copyright, marketing rules or sector-specific regulation.

Third-party integrations

The Platform lets you connect third-party services on your own initiative, using your own credentials and authorisation.

You are responsible for your use of those services and for complying with their terms. Miiwa passes data to and from a connected service only to deliver the integration you enabled, and is not responsible for the third-party service itself.

Confidentiality and Zero-Trace™

Miiwa treats your business logic, configurations and materials as confidential.

As a general rule we do not keep the input or output of ordinary agent sessions as a persistent history, in line with our Zero-Trace™ principle, and we do not train models on your data.

If you use features where storage is part of the product, such as Miiwa Vault or integrations, the data you choose to store is processed and retained in line with that feature and our privacy policy.

Availability and changes

The Platform is provided as software as a service on a reasonable-efforts basis. We may add, change or remove features as part of ordinary product development.

Unless a separate written agreement provides a specific service level, the Platform is provided without an uptime guarantee.

Limitation of liability

The Platform supports your processes and decisions. It does not replace legal, financial or other professional advice.

  • To the extent permitted by law, Miiwa is not liable for indirect or consequential loss, operating loss, loss of profit, loss of data or loss arising from published or applied AI-generated content.
  • Miiwa's total liability may in no case exceed the amount you paid to Miiwa in the twelve months before the event giving rise to the claim.

Term and termination

These Terms apply for as long as you have an active subscription or otherwise use the Platform.

Either party may end the relationship in line with the subscription and cancellation terms above. Miiwa may suspend or limit access where a subscription lapses, where fees are unpaid, or where use breaches these Terms.

When the relationship ends, access to the Platform stops. You are responsible for exporting any data you wish to keep within a reasonable period around termination, after which data may be deleted in line with our privacy policy and retention practices.

Changes to these terms

We may update these Terms as the Platform and our legal or commercial requirements evolve. We will update the date at the top of this page when we do.

Your continued use of the Platform after an update means you accept the revised Terms.

Governing law

These Terms are governed by the laws of the Republic of Cyprus, and the courts of Cyprus have jurisdiction over any dispute arising from them.

This does not deprive you of the protection of any mandatory consumer rules that apply in your own country of residence.
